THE DECISION, ON RECORD

Good minutes let a reader distinguish what the board heard, what it discussed and what it decided. The useful detail is often a condition, a reservation or a responsibility that would disappear in a general summary.

01

Prepare the record before the room fills.

Enter the meeting title, date, location, chair, minute-taker and planned agenda before the session. Add fields for attendance, apologies, interests and quorum using your organisation’s own governance requirements.

Give each agenda item a reference. If a paper has several versions, identify the version actually considered. This makes later questions about the decision easier to resolve.

02

Separate discussion from the resolution.

Summarise the material considerations and alternatives in a short discussion note. Put the decision in its own field using a clear verb: approve, defer, reject, request or note. Preserve any condition attached to it.

Illustrative wording: keep the condition visible.
Weak recordMore useful record
“The rollout was discussed.”“The board approved the rollout, subject to completion of the security review.”
“The finance team will follow up.”“The finance lead will circulate the revised budget before the next board meeting.”
03

Keep action and decision records connected.

A decision says what was agreed. An action says what someone must do next. Link the two with references, but do not force every discussion point into a task.

  • Record the owner and due date that were actually agreed. Mark an unconfirmed owner explicitly.
  • Include a reservation or dissent when your governance process requires it.
  • Record deferred items and the information needed to bring them back.
04

Close with a reviewable draft.

Check names, figures, document references and conditions before circulation. Keep draft status visible until your organisation’s approval process is complete. Record corrections and the approved version in the place your organisation uses for board records.
